In the event of any inconsistency between these terms and conditions and the DBS Vickers General Trading Agreement, the DBS Vickers General Trading Agreement shall prevail.

การทำสัญญาแยกต่างหาก
สินค้าหรือบริการอื่น (ถ้ามี) ของกลุ่มบริษัทดีบีเอสผ่านบริการทางอิเล็กทรอนิกส์ตามสัญญาที่จะจัดทำแยกต่างหาก จะอยู่ภายใต้การรับประกัน (ในกรณีที่มีการรับประกัน) ตามข้อกำหนดที่ระบุไว้อย่างชัดแจ้งของสัญญาดังกล่าวเท่านั้น และสมาชิกของ ดีบีเอสไม่รับรอง หรือรับประกันในสินค้าหรือบริการดังกล่าว ในกรณีที่ท่านเป็นลูกค้าของดีบีเอส วิคเคอร์ส ข้อตกลงและเงื่อนไขในสัญญาเปิดบัญชีซื้อขายหลักทรัพย์ประเภทเงินสด (DBS Vickers Securities Trading Cash Account Agreement) จะบังคับกับการเข้าและใช้เว็บไซต์นี้ของท่านด้วย ในกรณีมีความขัดแย้งกันระหว่างข้อกำหนดและเงื่อนไขในสัญญาเปิดบัญชีซื้อขายหลักทรัพย์ประเภทเงินสด และข้อกำหนดและเงื่อนไขการเข้าและใช้เว็บไซต์นี้ ให้ถือตามข้อกำหนดหรือเงื่อนไขในสัญญาเปิดบัญชีซื้อขายหลักทรัพย์ประเภทเงินสด
ทรัพย์สินทางปัญญา
กลุ่มบริษัทดีบีเอสเป็นผู้มีสิทธิแต่เพียงผู้เดียวในทรัพย์สินทางปัญญาในการบริการ ซอฟท์แวร์ สารสนเทศ ข้อมูล และเนื้อหาที่จัดทำขึ้นในเว็บไซต์นี้ และ/หรือในบริการทางอิเล็กทรอนิกส์ รวมถึงสิทธิในลิขสิทธิ์ เครื่องหมายการค้า และเครื่องหมายบริการ ทั้งนี้ เครื่องหมายการค้า เครื่องหมายบริการ และตราสัญลักษณ์ทั้งหมดที่ใช้ในเว็บไซต์นี้เป็นทรัพย์สินของกลุ่มบริษัทดีบีเอส และ/หรือบุคคลภายนอกที่เป็นเจ้าของเครื่องหมายหรือตราสัญลักษณ์ดังกล่าวตามที่ระบุไว้ในเว็บไซต์นี้ ท่านไม่ได้รับอนุญาตในการทำซ้ำ แจกจ่าย ตีพิมพ์ ถ่ายโอน ติดประกาศ ส่งผ่าน หรือเชื่อมโยงเนื้อหาข้อมูลในเว็บไซต์นี้ และ/หรือในบริการทางอิเล็กทรอนิกส์ รวมถึงข้อความ รูปภาพ รหัส และ/หรือซอฟท์แวร์ในลักษณะหรือรูปแบบใด ๆ โดยไม่ได้รับความเห็นชอบเป็นลายลักษณ์อักษรล่วงหน้าอย่างชัดแจ้งจากสมาชิกของกลุ่มบริษัทดีบีเอส และผู้เป็นเจ้าของลิขสิทธิ์ เครื่องหมายการค้า และเครื่องหมายบริการที่เกี่ยวข้อง นอกจากนี้ ท่านยังไม่ได้รับอนุญาตในการทำการเชื่อมโยง (hyperlinks) เพื่อการเข้าสู่เว็บไซต์นี้ โดยเชื่อมโยงไปยังเว็บไซต์อื่น หรือ "คัดลอก" เนื้อหาข้อมูลที่ปรากฏบนเว็บไซต์นี้ไปยังฐานบริการ (server) อื่นโดยไม่ได้รับอนุญาตจากกลุ่มบริษัทดีบีเอส
การแยกความรับผิดและการชดใช้ความเสียหาย
ไม่ว่าในกรณีใดก็ตาม สมาชิกของดีบีเอสไม่ต้องรับผิดต่อบุคคลใด ๆ สำหรับค่าเสียหาย ค่า เรียกร้อง ค่าใช้จ่าย หรือการสูญเสียที่เกิดขึ้นจากหรือเกี่ยวข้องกับ (ก) การเข้าใช้ การใช้ หรือการไม่สามารถเข้าใช้ หรือใช้เว็บไซต์นี้ และ/หรือบริการทางอิเล็กทรอนิกส์ (ข) การใช้หรือความเชื่อถือในความแม่นยำ การมีอยู่ เงินตรา ชื่อ การไม่ละเมิดสิทธิ คุณภาพ ความน่าเชื่อถือ ความสามารถในการซื้อขายความเหมาะสมสำหรับวัตถุประสงค์ใดโดยเฉพาะ ความเหมาะสม และความสมบูรณ์ของบริการ สารสนเทศ ความปลอดภัย ข้อมูล และเนื้อหา หรือ (ค) ระบบฐานบริการ (server) หรือความไม่สามารถในการเชื่อมต่อระบบ ความผิดพลาด การละเว้นกระทำการ การสอดแทรก ความล่าช้าในการส่งถ่ายข้อมูล ไวรัสคอมพิวเตอร์ รหัส เอเจนท์โปรแกรม (agent program) หรือแมคโคร (macros) ที่เป็นอันตรายหรือสามารถทำลาย หรือเป็นภัยต่อระบบ โดยไม่คำนึงถึงว่าสมาชิกของดีบีเอสได้รับทราบถึงโอกาสหรือความเป็นไปได้ของการเกิดความเสียหาย ค่าเรียกร้อง ค่าใช้จ่าย หรือการสูญเสียเหล่านั้นแล้วก็ตาม ในการที่ท่านได้เข้าสู่เว็บไซต์นี้แล้ว ท่านตกลงที่จะชดใช้ค่าเสียหายต่อสมาชิกของดีบีเอสสำหรับค่าเสียหาย การสูญเสีย ค่าใช้จ่าย และค่าดำเนินการ (รวมถึงค่าดำเนินการทางกฎหมาย) ที่สมาชิกของดีบีเอสได้รับหรือที่อาจจะเกิดขึ้นซึ่งสืบเนื่องมาจากการที่ท่านเข้าใช้เว็บไซต์นี้ และ/หรือการใช้บริการทางอิเล็กทรอนิกส์ และ/หรือสารสนเทศ ข้อมูล และเนื้อหาที่มีอยู่บนเว็บไซต์ และ/หรือบริการทางอิเล็กทรอนิกส์ นอกจากนี้ สมาชิกของดีบีเอสไม่ต้องรับผิดต่อความเสียหายใด ๆ ที่เกิดขึ้นเนื่องจากเหตุที่อยู่นอกเหนือการควบคุมของสมาชิกของดีบีเอส ซึ่งรวมถึงแต่ไม่จำกัดเพียงการขัดข้องของอุปกรณ์ทางอิเล็กทรอนิกส์หรือทางเครื่องกล หรืออุปกรณ์เพื่อการติดต่อสื่อสาร โทรศัพท์ หรือการขัดข้องด้านการติดต่อเชื่อมโยงอื่น ๆ การเข้าเว็บไซต์โดยบุคคลที่ไม่มีอำนาจ การขัดข้องของการคมนาคมสาธารณะ การติดต่อสื่อสารผ่านตัวกลาง ทั่วไป หรือระบบจัดการข้อมูล หรือการขโมย (รวมถึงการขโมยรหัสผ่าน รหัส หรือข้อมูลเพื่อการเข้าสู่ระบบ) และความผิดพลาดของตัวประมวลผล

กลุ่มบริษัทดีบีเอสอาจทำการเชื่อมโยงการเข้าสู่เว็บไซต์อื่น ๆ ที่บุคคลภายนอกเป็นเจ้าของหรือดำเนินการ ทั้งนี้ เว็บไซต์ที่ถูกเชื่อมโยงดังกล่าวไม่อยู่ภายใต้การควบคุมของกลุ่มบริษัทดีบีเอส ดังนั้น กลุ่มบริษัทดีบีเอสจึงไม่รับผิดชอบในเนื้อหาหรือผลที่ตามมาของการเข้าหรือเชื่อมโยงเข้าสู่เว็บไซต์ดังกล่าว หรือเว็บไซต์ที่ถูกเชื่อมโยงในเว็บไซต์ดังกล่าว นอกจากนี้ กลุ่มบริษัทดีบีเอส ไม่ยืนยันหรือรับรองถึงความถูกต้องของเว็บไซต์ที่ถูกเชื่อมโยงดังกล่าว ท่านตกลงว่า การที่ท่านเข้าสู่หรือใช้เว็บไซต์ที่เชื่อมโยงเข้าไปดังกล่าวเป็นความเสี่ยงของท่านแต่เพียงผู้เดียวและท่านตกลงที่จะอยู่ภายใต้บังคับของข้อกำหนดและเงื่อนไขของการเข้าหรือการใช้ที่ระบุไว้ในเว็บไซต์นั้น ๆ
ข้อมูลทั่วไป
โดยไม่คำนึงถึงข้อกำหนดและเงื่อนไขที่ระบุไว้ข้างต้น กลุ่มบริษัทดีบีเอสมีสิทธิแต่เพียงผู้เดียวในการเปลี่ยนแปลงและแก้ไขเว็บไซต์หรือส่วนใดส่วนหนึ่งของเว็บไซต์ บริการทางอิเล็กทรอนิกส์ ข้อมูลทาง การเงิน รวมถึงการแก้ไขเปลี่ยนแปลงสัญญาฉบับนี้ ณ เวลาใด ๆ โดยไม่ต้องแจ้งให้ท่านทราบ นอกจากนี้ กลุ่มบริษัทดีบีเอสยังสามารถปรับปรุง ระงับ หยุด หรือถอดถอนยกเลิกส่วนใดส่วนหนึ่งหรือทั้งหมดของเว็บไซต์นี้ และ/หรือบริการทางอิเล็กทรอนิกส์เป็นครั้งคราวไป โดยไม่ต้องให้เหตุผลหรือแจ้งให้ท่านทราบ ล่วงหน้า และกลุ่มบริษัทดีบีเอสไม่ต้องรับผิดใด ๆ ในกรณีที่การปรับปรุง แก้ไข ระงับ หรือการเปลี่ยนแปลงเว็บไซต์นี้ และ/หรือบริการทางอิเล็กทรอนิกส์เป็นเหตุให้ท่านไม่สามารถเข้าสู่เว็บไซต์นี้ หรือส่วนใดๆ ของเว็บไซต์ และ/หรือใช้บริการทางอิเล็กทรอนิกส์ หรือส่วนใด ๆ ของบริการทางอิเล็กทรอนิกส์ ทั้งนี้ สัญญาฉบับนี้อยู่ภายใต้บังคับและการควบคุมและการตีความตามกฎหมายแห่งประเทศไทย อีกทั้งข้อเรียกร้องหรือข้อพิพาทที่จะเกิดขึ้นให้อยู่ภายใต้การดำเนินการของศาลที่มีเขตอำนาจในประเทศไทย

ข้อมูลทางการเงินที่ปรากฏบนเว็บไซต์นี้ และ/หรือบริการทางอิเล็กทรอนิกส์บางส่วนได้ถูกจัดทำขึ้นโดยสมาชิกของดีบีเอส ทั้งนี้ สมาชิกของดีบีเอสไม่ต้องรับผิดต่อความเสียหายที่เกิดขึ้นในกรณีใด ๆ หรือผลต่อเนื่อง หรือการสูญเสียหรือค่าเสียหายอื่นใดที่เกิดจากการใช้ข้อมูลทางการเงิน (รวมถึงข้อผิดพลาด การละเว้นกระทำการ หรือการแสดงข้อความที่ผิดไปจากความเป็นจริงในเว็บไซต์นี้ ความประมาทเลินเล่อ หรือกรณีอื่น) หรือการติดต่อสื่อสารที่เกิดขึ้นในภายหลังเกี่ยวกับข้อมูลดังกล่าว โดยไม่คำนึงว่าสมาชิกของดีบีเอสจะได้รับทราบถึงโอกาสหรือความเป็นไปได้ที่ความเสียหาย ค่าเรียกร้อง ค่าใช้จ่าย หรือการสูญเสียเหล่านั้นจะเกิดขึ้นแล้วหรือไม่ก็ตาม ข้อมูลทางการเงินที่สมาชิกของดีบีเอสจัดทำขึ้นไม่ได้ทำขึ้นเพื่อแจกจ่ายให้กับหรือเพื่อการใช้ของบุคคลหรือหน่วยงานในประเทศที่การแจกจ่ายหรือการใช้ข้อมูลทางการเงินดังกล่าวมีผลเป็นการขัดต่อกฎหมายหรือระเบียบข้อบังคับของประเทศนั้น ๆ ข้อมูลทางการเงินที่มีอยู่ในเว็บไซต์นี้ และ/หรือบริการทางอิเล็กทรอนิกส์ถูกจัดทำขึ้นมาจากแหล่งข้อมูลที่พิจารณาแล้วว่ามีความน่าเชื่อถือ แต่ทั้งนี้สมาชิกของดีบีเอสไม่รับรองหรือรับประกันถึงความแม่นยำ ความสมบูรณ์ ความเหมาะสม เวลา หรือความถูกต้องของข้อมูลดังกล่าวเพื่อวัตถุประสงค์ใดเป็นการเฉพาะ ข้อมูลทางการเงินเหล่านี้จัดทำขึ้นเพื่อเป็นข้อมูลทั่วไปเท่านั้น และมิได้ทำขึ้นเพื่อใช้ในการ ตัดสินใจของท่าน และท่านควรขอรับคำแนะนำด้านกฎหมายหรือด้านการเงินเป็นการต่างหากด้วย ความเห็นที่สมาชิกของดีบีเอสแสดงไว้สามารถเปลี่ยนแปลงได้โดยไม่ต้องแจ้งให้ท่านทราบ รวมถึงข้อแนะนำในข้อมูลทางการเงินที่สมาชิกดีบีเอสจัดทำขึ้นมิได้มีเพื่อวัตถุประสงค์ด้านการลงทุน สถานการณ์ทางการเงิน และเพื่อตอบสนองความต้องการของผู้รับข้อมูลคนใดคนหนึ่งโดยเฉพาะ ทั้งนี้ สมาชิกของดีบีเอสและบริษัทร่วม รวมถึงกรรมการ เจ้าหน้าที่ และ/หรือพนักงานของสมาชิกดีบีเอสอาจดำรงตำแหน่งหรือมีส่วนได้เสีย และอาจทำเข้าทำรายการเกี่ยวกับการซื้อขายหลักทรัพย์ที่ระบุไว้ในข้อมูลทางการเงินได้ รวมถึงอาจดำเนินการในลักษณะเป็นตัวแทนนายหน้า ที่ปรึกษาด้านการลงทุน และการบริการทางธนาคาร หรือการบริการทางการเงินสำหรับบริษัทเหล่านั้นได้.
