“The Shareholder Rights Directive II (SDR II)” is a European Union (EU) directive which will come into effect on 3 September 2020. SRD II promotes greater engagement between shareholders and corporations they invest in, where such corporations have a registered office in the EU and whose equity securities with voting rights are admitted for trading on a regulated market within the EU (“applicable corporation(s)”).
Under this directive, all impacted intermediaries such as DBS Vickers Securities (Thailand) Company Limited and some of its affiliates, are required to disclose shareholder information i.e. your information; to an applicable corporation, send notifications to shareholders of general meeting events and facilitate voting at corporate events. Third party vendors may be engaged to facilitate compliance with the requirements under SRD II. Additional costs related to your equity investment in an applicable corporation will be incurred in order to comply with SRD II, and DBS Vickers Securities (Thailand) Company Limited and its affiliates (where applicable) reserves the right to charge you to defray such costs.

As communicated in Aug 2020, to facilitate with the compliance of the requirements under EU Shareholders Rights Directive II (SRD II), we have engaged a third party vendor to facilitate the exercise of shareholder rights. As such, if any of your holdings are in scope for such event, you will receive an email notification from “global@proxyvote.com” for your prompt action.

4. When we will receive notification and how to vote?

1st email Pre-Ballot: Announcement an upcoming shareholding meeting: Please keep an eye out for subsequent mailing to vote.
Notification will send to clients daily 2 times per day, Hong Kong Time (HKT). One hour ahead of Thailand Time.

2nd email Ballot and Notification: The client shall click on the unique deep link in the email to make their proxy vote for each agenda item and such voting decision will be captured directly by Broadridge to deliver to issuer.
Ballot and Notification will be sent to clients by next day from Monday – Friday at Eastern Time which delayed from Thailand time five hours.

5. Any charging on these services
